BGP Litigation Supports Management Buy-Out

BGP Litigation has advised on the management buy-out of a share in the charter capital of a Russian LLC belonging to the corporate group of a major global technical contractor.The BGP Litigation Lawmaking and GR Practice, together with its Corporate Law and M&A Practices, supported a deal for sale and purchase of a share in the charter capital of a subsidiary of a major global technical contractor. The buyer was the CEO of the Russian LLC.

As part of the project, the Corporate Law and M&A Practice drafted the transaction documents, while the Lawmaking and GR Practice prepared the complete set of documents and supported the deal before government authorities in order to obtain approval from the Government Commission on Control over Foreign Investment in the Russian Federation. The project was challenging as the share buyer is an individual citizen of an 'unfriendly' state.

The BGP Litigation team managed to develop a legal strategy enabling the transaction to be successfully effected in line with the statutory requirements. As a result, the client was able to complete the deal within an optimal timeline in full compliance with the regulatory processes.
